Representative Client Transactions
Hospitality Transactions
  • Representation of hotel management companies in the creation of transactional documents for management of hotels in India and the People’s Republic of China, coordinating and incorporating local tax and local law concerns into such documents, based on advice from local advisors.
  • Representation of hotel management companies in the review and creation of US management agreement forms.
  • Review, analyze and provide recommendations for possible structures and models for branded real estate projects in the Asia Pacific region, based on local law advice and restrictions.
  • Negotiation and documentation of restructuring of a hotel management contract in Macau, in connection with a $1.75 billion financing with a consortium of more than 30 lenders, of a mixed-use complex.
  • Negotiation and documentation of the development of a convention hotel, financed by municipal bonds.
  • Representation of hotel management companies in connection with the negotiation of hotel management agreements by management companies in the US, Canada, the Middle East, Latin America, the Caribbean and Asia.

Real Estate Transactions
  • Representation of a major corporation in connection with the acquisition of real property for the construction of its new campus and disposition of its existing campus buildings. The transaction was awarded as the “Deal of the Year” in a local business journal.
  • Representation of clients on acquisition and sale of commercial office and warehousing facilities and leasing of same.

Corporate Transactions
  • Representation of clients (both domestic and foreign) in share and asset acquisitions.
  • Representation of US subsidiaries of foreign parent companies as “outside General Counsel” to advise and coordinate legal needs of such subsidiaries, including the documentation of inter-company-related transactions.
